How to set up local company in Singapore?

Do you ever dream of doing business in Singapore or business expansion to International Market?

Doing business in Singapore is ease. Singapore’s reputation is the most creditable to attract foreign companies in South East Asia.

Here, we will share how to set up a local company in Singapore.

First thing, you need to think is company Name. Company name is very vital to differentiate itself and make brand awareness easily.

After selected company name, you must reserve the name in ACRA Bizfile+. When company name is approved, you can proceed to incorporate the company.

Before you proceed to incorporate the company, you need to decide what type of company is suitable for your business.

1. Type of company

There are two types: Private company and Public company.

-For a private company limited by shares, maximum shareholders must be 50. -If the company is one which has a maximum of 20 shareholders and no corporation is a shareholder, The company will enjoy exemption from some compliance matters as an Exempt private company (EPC).

Public companies can be differentiated by two types either Public company limited by shares or guarantees.

- public company limited by shares may have more than 50 shareholders and raise capital by offering shares or debentures to the public. -The company must be registered at Monetary Authority of Singapore (MAS) before making any offers to public.

-If the public company does not have shareholders but members, that it would be registered as a public company limited by guarantee. -Public company limited by guarantee is usually performed non-profited activities such as charitable societies. -Other various activities including financial matters should be agreed to solve by the members.

2. Appointing directors, secretary, and other key personnel.

After you have determined company types, now time to appoint directors, Secretary, Auditor, and other key personnel. Company must appoint corporate secretary and Auditor within 6 months and 3 months after incorporation date. There are some exemptions for appointing secretary and Auditor if you meet some criteria. However, Foreigners who wish to incorporate in Singapore, they must appoint secretary and nominee director if you choose to reside the outside of Singapore after setting the local company.

3. List of shareholders

The company must have at least one shareholder. Shareholders particulars are required to provide during submission. Minimum issued share capital is at least $1. However, there is no minimum paid up capital required. Moreover, there are two types of shares to declare such as ordinary and preference shares.

4. Registering company’s address

Another important thing is registered address. You may run your business from outside of Singapore. However, you need registered address in Singapore to liaise with respective parties for all compliance and business matters. The registered address can be virtual address.

5. Deciding on a financial year end For every new companies, the first financial year end should be decided so that the due dates of annual returns and taxes would be easily determined.

6. Submitting through Bizfile+ application

Once the above conditions are completed, the last step is to register online through Bizfile+ application. Some business types require licenses from respective authorities. For example, Audit Firm, Legal firm, Financial institution.

According to Singapore Company Act, corporate secretary has to be appointed within 6 months after incorporation of Singapore.

နာမည်ရွေးချယ်ပြီးသွားပြီဆိုရင်တော့ Bizfile+ applicationကနေတစ်ဆင့် လျှောက်လွှာတင်သွင်းရပါမယ်။နာမည်စာရင်းတင်သွင်းပြီးလို့ ခွင့်ပြုချက်ရလာရင် သင်ရွေးချယ်ထားတဲ့လုပ်ငန်းနဲ့ကိုက်ညီမယ့် ကုမ္ပဏီအမျိုးအစားကိုဆက်လက်ရွေးချယ်ရပါမယ်။

၁။ ကုမ္ပဏီအမျိုးအစားရွေးချယ်ခြင်း သင်ရွေးချယ်လုပ်ကိုင်မယ့် လုပ်ငန်းပေါ်မူတည်ပြီး ကုမ္ပဏီအမျိုးအစားကို ခွဲခြားသတ်မှတ်‌ပေးပါတယ်။

-ပုဂ္ဂလိကကုမ္ပဏီတစ်ခုအတွက် ရှယ်ယာရှင်အများဆုံး အယောက်(၅၀)အထိ ထားခွင့်ရှိပါတယ်။ -ရှယ်ယာရှင်အယောက်(၂၀)လောက်ထိရှိမယ်၊မည်သည့်ကော်ပိုရေးရှင်းကမှ ရှယ်ယာရှင်မဟုတ်ဘူးဆိုရင်တော့ ကုမ္ပဏီက ကင်းလွတ်ခွင့်အချို့ခံစားရပြီး Exempt Private Company (EPC)အဖြစ်သတ်မှတ်ပါလိမ့်မယ်။

- အကယ်၍ ရှယ်ယာရှင် အယောက်(၅၀)နဲ့အထက်ရှိမယ်၊ နောက်ထပ်အရင်းအနှီးထည့်ဝင်ချင်သူတွေကိုလည်း ကမ်းလှမ်းလို့ရတယ် ဆိုရင်တော့ ရှယ်ယာနဲ့ကန့်သတ်ထားတဲ့ အများနှင့်သက်ဆိုင်သောကုမ္ပဏီအဖြစ် သတ်မှတ်‌ပါတယ်။ -ရှယ်ယာနှင့်ကန့်သတ်ထားသောအများနှင့်သက်ဆိုင်သည့်ကုမ္ပဏီဖြစ်ပါက Monetary Authority of Singapore(MAS)မှာ စာရင်းသွင်းပြီးမှာသာ ရှယ်ယာရှင်များစတင်လက်ခံနိုင်မှာပါ။

- ရှယ်ယာရှင်များအစား အဖွဲ့ဝင်များနဲ့သာဖွဲ့စည်းထားတဲ့ကုမ္ပဏီကိုတော့ အာမခံနဲ့ကန့်သတ်ထားသောအများနှင့်သက်ဆိုင်သည့်ကုမ္ပဏီဟု ခေါ်ဆိုပါတယ်။ -အာမခံနှင့်ကန့်သတ်ထားသော အများနှင့်သက်ဆိုင်သည့်ကုမ္ပဏီဖြစ်ပါက အကျိုးအမြတ်ကင်းတဲ့ပရဟိတလုပ်ငန်းတွေကိုဆောင်ရွက်ရန် ဖွဲ့စည်းကြပါတယ်။‌ ‌‌ - ငွေကြေးပိုင်းဆိုင်ရာအပါအဝင် ကုမ္ပဏီနဲ့ပတ်သက်တဲ့ကိစ္စအဝဝကို အဖွဲ့ဝင်များက ခွဲဝေတာဝန်ခံပေးရပါမယ်။

၂။ဒါရိုက်တာများ၊အတွင်းရေးမှူးများနှင့်အခြားအဓိကဝန်ထမ်းများခန့်အပ်ခြင်း။

ကုမ္ပဏီအမျိုးအစားရွေးချယ်ပြီးနောက် ဒါရိုက်တာ၊အတွင်းရေးမှူး၊စာရင်းကိုင်အပါအဝင် အခြားအဓိကကျသောဝန်ထမ်းရာထူးများကို ခန့်အပ်ရပါမယ်။စတည်ထောင်သောနေ့မှ ၃လအတွင်း စာရင်းကိုင်များ ခန့်အပ်ဖို့လိုအပ်ပြီး ၆လအတွင်း အတွင်းရေးမှူးခန့်အပ်ရပါတယ်။ အကယ်၍ နိုင်ငံခြားသားတစ်ယောက်က စင်ကာပူမှာလုပ်ငန်းရင်းနှီးမြှပ်နှံတာမျိုးဆိုရင် အတွင်းရေးမှူးနဲ့ဒါရိုက်တာကို အမြန်ဆုံးခန့်အပ်ဖို့လိုပါတယ်။ လုပ်ငန်းရှင်ကိုယ်တိုင်ကတော့ စင်ကာပူပြင်ပကနေတစ်ဆင့် ညွှန်ကြားဆောင်ရွက်လို့ရပါတယ်။

၃။ရှယ်ယာရှင်များစာရင်း

ရှယ်ယာရှင်တွေရဲ့ ကိုယ်ရေးအချက်အလက်အပြည့်အစုံ၊ ရှယ်ယာဝင်မယ့်ပဏာမ()ကိုလည်း ကုမ္ပဏီစာရင်းမှတ်တမ်းမှာ အတိအကျလေးထည့်သွင်းပေးဖို့လိုပါမယ်။ ရှယ်ယာရင်းနှီးမြှပ်နှံတဲ့အခါ အနည်းဆုံး $1မှစတင်၍ ရင်းနှီးမြှပ်နှံနိုင်ပါတယ်။ -ဒါ့အပြင် Ordinaryရှယ်ယာရှင်နဲ့ Preference ရှယ်ယာရှင်စာရင်းကိုလည်း မှတ်တမ်းမှာဖော်ပြပေးဖို့လိုအပ်ပါတယ်။

၄။ကုမ္ပဏီရုံးချုပ်အတည်တကျသတ်မှတ်ခြင်း

နောက်ထပ်အရေးကြီးတာတစ်ခုကတော့ ကုမ္ပဏီရဲ့ အဓိကဆက်သွယ်ရမယ့်လိပ်စာကို မှတ်ပုံတင်ခြင်းဖြစ်ပါတယ်။ စာရင်းဇယားပိုင်း၊ ပြန်ကြားရေးနဲ့ဆက်သွယ်ရေးပိုင်းတွေကို ရုံးချုပ်ကနေတစ်ဆင့်ပဲဆောင်ရွက်ရပါတယ်။ဒါကြောင့် ကုမ္ပဏီရဲ့ရုံးချုပ်တည်ရှိရာ လိပ်စာအတိအကျကို စာရင်းသွင်းပေးဖို့လိုပါမယ်။

၅။ကုမ္ပဏီ ဘဏ္ဍာနှစ် သတ်မှတ်ခြင်း
